Representing a buyer or seller or a lender or borrower draws on the same strengths that an experienced trial lawyer brings to the table:  a clear understanding of the business issues driving the transaction, a complete understanding of the applicable law, and the ability to incorporate those factors into documents which reflect the parties’ understanding of the deal.

In the organization of First Community Bancshares, Inc. and First Rome Bank, Hine acted as an organizer, director and General Counsel to a de novo start up.  Before the holding company was merged into Regions Bank five years after opening its banking business, First Rome Bank had assets under management of approximately $125,000,000.

In the sale of Syntec Industries, Inc., Hine represented the seller of an integrated carpet manufacturer to the purchaser.  The sale price, net of liabilities assumed by the purchaser, was in the low eight figures.  

In the out of court restructuring of Cherokee Carpet Industries, Inc., Hine represented the debtor in a successful out of court extension of all the debt of the debtor which included unsecured trade debt in excess of $9,000,000 owed to almost 150 trade creditors and secured debt  and capital leases approaching $18,000,000.  All of the indebtedness, both secured and unsecured, has been paid in full.

In September, 2009, Hine represented Syntec Industries, LLC in the negotiation and consummation of a $16,000,000 asset based revolving loan with Regions Bank.
